Terms of Service

1. Introduction and Definitions

Courex Pte Ltd (also referred to as “Courex”), offers Integrated Business Platform application (referred to as “Business Platform”, “Business Services Portal”, “Portal”) through StoreViva.com (“StoreViva”, “Website”, “Site”). The term “Courex” and “StoreViva” may be used interchangeably in this Terms of Service. With this Business Platform application, Courex provides Warehousing services, eCommerce, Logistics and other Sellers related services through a portal that enable administration of these services. These services may be revised from time to time and additional merchants services may be offered from time to time. These services are collectively called “Services”.

A Seller (“Store Owner”, “Portal User”) is the StoreViva user who signs up to operate the StoreViva services. A Vendor refers to the suppliers/ merchants who provides goods to Seller. A Buyer refers to StoreViva user who browses, accesses Seller Store or StoreViva Marketplace for purchasing or related intent. User/ Users refer to all Sellers, Buyers, or any individual who accesses and uses the Website. The term “You”, unless explicitly stated, refers to all users.

Additionally, products or services offered at selected Stores are concurrently displayed under StoreViva Marketplace (“Marketplace”).

The conditions of the Services offered are outlined in this Terms of Service (“TOS”, “Agreement”, “Terms”). Other additional policies may be presented by Courex.

2. Services & Subscription

  1. Access to the Business Services Portal are chargeable and provided to Sellers on subscriptions basis. You may opt for appropriate plans for your products or services offers, as listed under our Pricing List. Subscription rates for each plan varies and is listed in Singapore Dollars unless otherwise stated. Courex may revise the fee at our discretion from time-to-time and Sellers will be notified through the email registered with us.
  2. Access to an active StoreViva store front is available free of charge to all. While Buyers are required to register with the Store prior to purchasing, registration and using the Website as a Buyer are provided free of charge.
  3. Access to StoreViva Marketplace is available free of charge to all users. Sellers who opt in will have your products listed in Marketplace free of charge and when a succesful transaction is made via Marketplace, Courex may or may not be charging commission from this transaction. While Buyers are required to register with Marketplace prior to purchasing, registration and using the Website as a Buyer are provided free of charge.
  4. As a Seller, you may be qualified for our promotional offers on your subscription fee. The details of the promotions are listed under our Pricing List and may be amended from time-to-time. We recommend you to check out the page for promotions that may apply to you.
  5. Sellers with active paid subscription are required to maintain recurring monthly billing using Paypal as mode of payment unless there is a specific agreement between you and Courex. Upon completion of registration, an automatic monthly billing agreement will take effect immediately.
  6. Sellers are responsible for payment and any other related charges such as taxes and duties from your Store sales.
  7. As Sellers, you agree not to sell or rent any Buyers’ information to any third-party companies. This includes but not limited to Name, Email, Address and Phone Number.
  8. As User, you must not use StoreViva service for illegal or unauthorized purpose nor may you, in using StoreViva service, violate any legal laws in your jurisdiction.
  9. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service or access to the Service without the express written permission of Courex.
  10. As transaction and order take place in StoreViva, the order fulfillment is the Store Owner’s sole and full responsibility. Additionally, products/ services sold through Marketplace must be fulfilled by Store Owner in a reasonably timely manner, within 7 business days upon order completion, unless other agreements take place between Store Owner and Buyer. StoreViva may suspend Stores which fail to fulfill orders in timely and responsibly manner.
  11. Sellers may cancel or terminate subscription by contacting us through email or in writing. Additionally, canceling the recurring billing through Paypal will also be accounted as termination. We do not offer refund for early cancellation or termination. Termination or cancellation may also remove all contents and information Seller has stored in the Service and the store will no longer be available for access.
  12. Courex may terminate Buyer and/or Seller account without prior notice to you at our sole discretion and we reserve the right to change, modify or discontinue the service without prior notice. You agree that Courex may restrict and even bar your access to StoreViva with immediate effect. Courex will not be liable to you or any third party for any modification, price changes, interruption or termination of access and/or use of the Website.

3. Transactions between Buyers and Sellers

As Users, you agree that StoreViva is provided as an electronic web-based platform for both parties to perform eCommerce related transactions. The Website does not represent a specific Seller or Buyer and are not related to any specific transactions that take place at a Seller store. As such, Courex does not control and is not responsible for the quality, safety, legality, availability, reliability or any other attribute of a particular transactions offered at the Website, including but not limited to the ability of Sellers to sell and complete a sale in reasonable manner or the ability of Buyers to make payment for a sale and complete the purchase.

Sellers and Buyers should acknowledge that there may be risks in performing buying and selling transactions via the Website. The risks encompass but not limited to deceits, fraudulent schemes, misleading products or services information, products delivery delay and related issues, faulty products, delay or default in payment, cost mis-calculations, inaccurate products or services representation, breach of warranty, breach of contract, unsatisfactory quality and/or miscommunication between Seller and Buyer. Whenever possible StoreViva has provided an avenue to minimize the risks but users are still advised to be prudent when using the Website. Users agree that StoreViva will not be liable for any damages that may arise from these transaction risks.

4. Information on StoreViva

Information from Sellers
You have to register as seller to post products sales or services information on the Website. Information posted on the Website has to be in English or in case of non-English text, accompanied with accurate English translation. As a Store Owner, you are responsible for any digital content (including but not limited to products information, data, images and links) that are uploaded to your StoreViva store account. Whenever applicable, when a Store products and services listed at StoreViva Marketplace, the accuracy and quality of the products and services remains the responsibility of the Store Owner. StoreViva will not be liable for any products, services, information and other material listed by Store Owner through its Service.

StoreViva does not claim any intellectual property rights over the material you provide while using our service. All material you upload remains yours.

Courex reserves the right to remove any material posted on the Website which is unreasonable or violates this Agreement or is inappropriate in our discretion. We may suspend or even terminate accounts which we believe to have breached the Agreement, is offensive or disruptive to the service in part or in whole, in our sole discretion.

Information from Registered Users
Upon creation of account, Buyers and Sellers are required to provide full legal information as requested during sign up and account activation process.

Submitting Information
Courex has employed reasonable measures to secure the Website and protect data hosted on it but no data transmission, whether submitted through secure part or not secure part of the Website can be guaranteed entirely secure. As such as a user, you agree and understand that Courex is not liable for any damages, whether consequential or not that resulted from loss of confidentiality in the information that you submitted through the Website.

5. Privacy Policy

StoreViva will not release your business and personal information to any third party unless we have your expressed permission and/or are required by the law to do so. We will not use or share your personal sensitive information in ways that are not described in this policy if we do not obtain your permissions beforehand and give you choice to opt out. StoreViva may be sharing your personal information with business partners who are acting on our behalf to provide necessary service or information you may request and to facilitate your use of Service. We set appropriate confidentiality agreements in regard to how the information is used.

What types of personal information do we collect?

1. Non-sensitive Information
As a Buyer/ a Seller, you could view many non-purchase/ non-member restricted pages in the Website without providing any personally identifiable information. However, we do employ “cookies” technology to gather and aggregate information pertaining to the web pages visit and the general usage patterns. Such information is not linked to any sensitive information. The non-sensitive information we collect is used for our internal review to help us improve our web store by optimizing the web page layout, the content and the usability of the web store, and to measure the effectiveness of our promotional activities. The information is also used to help us improve on the Marketplace experience, by identifying browsing habits, popularity of products, trends and related.

As a Buyer, you may be browsing Store that uses “cookies” technology to gather and aggregate information pertaining your web pages visit and general usage patterns at the Store. Such information is not linked to any sensitive information. The non-sensitive information collected at the Store is used by Sellers to help them improve their Store by reviewing content, measure the effectiveness of their promotional activities, identify popular products/ items to provide better Website browsing and shopping experience to the Store Buyers.

2. Sensitive Information
As an User, when you do activities at our Website, such as registering as our member, signing up for newsletter, making purchases or engaging our customer service, you may be providing sensitive personal information such as your logged IP address, your name, residential address, e-mail address, telephone number, fax number, and/or information regarding your interests in the various products and services. We require this information to provide you with the services you request and to facilitate your use of the Website, such as for billing, products delivery, services provisioning, authentication, identification, services improvement and contact. We also use your personal information to communicate with you on the latest promotions or products that we believe may interest you, and give you personal customized service. We may aggregate the information to help us in optimizing the Website interface and/or layout to provide you more convenience and satisfaction in using our Sites.

As a Buyer, when you do purchasing related activities at a Seller StoreViva Store, you may be providing sensitive personal information such as your logged IP address, your name, residential address, e-mail address, telephone number, fax number, and/or information regarding your interests in the various products and services. Sellers require this information to provide you with the services you request and to facilitate your use of the Website, such as for billing, products delivery, services provisioning, authentication, identification, services improvement and contact. Sellers may be using your personal information to communicate with you on the latest promotions or products that they believe may interest you, and give you personal customized service.

We use cookies to help process your order through our Sites, such as remembering which items have been placed in the shopping cart. To utilize our Sites, you must have your cookies enabled on your web browser.

* What are cookies ?
Cookies are small text files that are sent to your computer through the web browser. Cookies allow a web site to store information on your computer hard disk and retrieve it later. Cookies collect information like IP addresses, operating systems and browser software, but they do not collect any personal identifiable information. Cookies enable us to customize your experience and enable you to fully utilize and complete your transaction with greater convenience at our Sites. You reserve the right to accept or decline cookies. You may be able to accept or decline cookies by modifying the settings on your browser.

3. Business Partners
StoreViva may be sharing your personal information with business partners who are acting on our behalf to provide necessary service or information you may request, to ship your purchases, to consolidate data storage or to simplify the management of customer information. We have appropriate confidentiality agreements in regard to how the information is used.

Additionally Sellers are governed by their terms of service and there are payment processing that are facilitated by third party vendors. We recommend you to inspect their policies and terms of service before utilizing their service. If the Sellers policies and terms are inconsistent with this Agreement, this Agreement shall overrule Sellers policies.

Third party websites
This Privacy Policy only governs Sites controlled by Courex. There are links to third party web sites that are not controlled under this Privacy Policy. We have not reviewed all the third party web sites, do not control and are not responsible for any of these sites, their contents or their privacy policies and terms of use. We recommend that you check out the third party websites privacy policies and terms of use of those sites before providing your personal information to them.

6. Disclaimer

You expressly understand and agree that your use of the service at the Website is at your sole risk. The service is provided on an 'as is' and 'as available' basis without any warranty or condition, express, implied or statutory. We do not warrant that the service will be uninterrupted, timely, secure, error-free, or that the results that may be obtained from the use of the service will be accurate or reliable.

7. Limitation

You agree to indemnify and hold Courex and (as applicable) our parents, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

You expressly understand and agree that StoreViva shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.

8. Acceptance

This TOS represents the general agreement concerning the service of StoreViva between you and Courex Pte Ltd. If you do not agree with the Terms, please do not browse, access or use the Website or any other services provided on the Website. Courex reserves the right to amend this TOS anytime so we recommend you to refer to this TOS from time to time for any changes that might apply to you.

Miscellaneous

The Service is provided on an “as is” and “as available” basis without any warranty or condition. A breach or violation of these Terms, at the sole discretion of StoreViva, may result in immediate termination of your Services. The failure of StoreViva to exercise or enforce any right or provision of the Terms of Services shall not constitute a waiver of such right or provision. The TOS constitutes the entire agreement between you and StoreViva and govern your use of the service, superseding any prior agreements between you and StoreViva (including, but not limited to, any prior versions of the TOS).
